Developments in employment law continue to keep us wondering when and where the next lawsuit may appear.  Two leaders in the area of employment law will discuss, in a point-counterpoint format, the top three areas in employment law from their clients’ perspectives.  Employee issues to be discussed will be Retaliation, Defamation, and Disability Claims.  Employer issues will be Discrimination/Harassment, Wrongful Discharge and Alternative Dispute Resolution Claims.  Lively discussion and audience participation will be encouraged.

11:15 - 11:45      What Lessons Can Be Learned from the Bishop Estate Case?

January 2001 saw the close of the long-running dispute between the IRS and the former Bishop Estate trustees, who agreed to pay the IRS a reported $40,000 each in excess-benefits penalties.  Last fall, the Hawaii attorney general approved a $25 million settlement – paid by the trustees’ insurance policy (almost half for legal fees, and the rest to the Estate). Evelyn Brody will discuss the implications of this case for state and IRS regulation of charities.

Workshop A      Accounting Update 

This session will revisit SFAS No. 117, Financial Statements on Not-for-Profit Organizations, and discuss overlooked sections of the pronouncement and common errors noted in presentation since its inception.  The session will conclude with an overview of the implications when organizations do not comply with donor stipulations in grant or contribution documents.

Workshop B      Donor-Advised Funds: What are They and Why are They So 
                               Popular?
This session will explore the exponential growth of donor- advised funds as a vehicle to structure an individual’s or a family’s philanthropy.  With the advent of the Fidelity Gift Fund and other proprietory funds, donor-advised funds are attracting more attention.  Come learn what they are, how they are managed and the implications of these vehicles for grantseeking organizations.

Workshop C      Intermediate Sanctions for Excess Benefit Transactions
Intermediate sanctions will have a major impact on board members of public charities and how boards operate.  The recently released temporary regulations under section 4958 will be discussed, highlighting changes from the regulations proposed in 1998.

Workshop B     Board of Directors: Common Issues
This workshop will cover many typical issues faced by a not-for-profit board and its members.  What is required of board members may not be the same as what they think.  Included are board development; duties of loyalty and conflicts of interest; duty of care and minimum performance levels; necessary board tasks; and some common problems.

Workshop C     Unrelated Business Income: A Tax Update
The session will provide an overview of the rules for identifying and calculating unrelated business income.  The focus will be on topics of interest to a broad spectrum of organizations such as charities, cultural institutions, social-welfare organizations, trade associations and social clubs.  Recent developments including those in the areas of e-Commerce, corporate sponsorships and tower rentals will be discussed.  The discussion will include a technical tax analysis as well as the practical application of the rules.

Fund-raising grows ever more sophisticated and competitive.  This panel will lead a discussion of what charities need to know about their relationships with professional fund-raisers and consultants and how laws regulating fund-raising apply in the electronic age.

Cancellation and Refunds: Written notification of cancellation is required. A full tuition refund is available if notification is received prior to May 11, 2001; 25% will be charged if notification is received between May 11 and June 1, 2001.  No refunds will be granted after June 1, 2001.
CLE/CPE Credit: 6.0 hours on a “60-minute” credit hour; 7.0 hours on a “50-minute” credit hour.  These are estimated approval hours based on “50 and 60-minute” credit hours.
