Q: What two sovereigns offered conflicting rules?

A: It seems that New York State and the Federal government are the two
sovereigns offering conflicting rules.  The Federal court would like to
follow principles established by general commercial law, while New York
would follow its own common law that a pre-existing debt does not
constitute a valuable consideration applicable to negotiable
instruments.
