     Swift is a false conflict because there are no federal laws governing the
issue in this case.  There are commercial law principles but there is no
federal law in direct conflict with New York state law.  The federal district
court of New York could either apply the law of the forum, which would be New
York law, or it could apply the law that would have applied to the antecedent
parties, which would also be New York law.  Instead, the Court seems to have
made it a conflict between state law and federal courts.  There is no federal
law at issue here.  There is no federal question at issue here.  The Court
seems to have created a conflict where none had existed.
